Terms of Service

This document is a working draft. It will be reviewed by legal counsel and updated before BRIA is made publicly available. Sections marked [Placeholder] require completion.

1. Agreement to these terms

By accessing or using the BRIA Kenya Business Risk Intelligence service (including the API, dashboard, and any associated tooling), you agree to be bound by these Terms of Service. If you are accessing the service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree with these terms, do not use the service.

2. What the service provides

BRIA aggregates publicly available Kenyan records — including court judgments (eKLR), Kenya Gazette notices, PPRA debarment lists, financial regulatory registers (CBK, CMA, IRA, SASRA, EBK, NCA), and business news — to produce a structured risk score and report for a named business entity.

The service is intended as a business due-diligence reference tool for compliance, credit, and procurement teams. It is not:

  • a credit reference bureau or credit score (as defined by the Credit Reference Bureau Regulations, 2013);
  • legal advice or legal opinion;
  • a definitive or exhaustive background check; or
  • endorsed by or affiliated with the Central Bank of Kenya, the Capital Markets Authority, or any other Kenyan regulatory body.

3. API access and use

API access is provided under a pilot or commercial agreement. Your API key is personal to your account; you must not share it. You are responsible for all activity under your key. Rate limits and permitted use are set out in your pilot or commercial agreement.

4. Acceptable use

You agree not to:

  • use the service to make automated, high-volume lookups for purposes unrelated to legitimate due-diligence;
  • re-sell, redistribute, or publish BRIA output as a data product without written permission;
  • attempt to reverse-engineer the underlying data sources or scoring logic;
  • use the service in connection with any unlawful purpose, including but not limited to targeted harassment or discriminatory decisions.

5. Intellectual property

The BRIA platform, scoring methodology, and API are owned by BRIA Intelligence Ltd. Public-record data extracted and processed by BRIA remains subject to the terms of its original source. You retain ownership of any inputs you provide.

6. Disclaimer of warranties

The service is provided "as is". BRIA makes no warranty that output is complete, accurate, or up to date. Public records are aggregated from third-party sources and may contain errors, gaps, or delays. You must verify material findings against primary sources before making decisions.

7. Limitation of liability

To the maximum extent permitted by Kenyan law, BRIA Intelligence Ltd shall not be liable for any indirect, incidental, or consequential loss arising from your reliance on service output. [Placeholder — liability cap and carve-outs to be confirmed with legal counsel.]

8. Data and privacy

How we handle your personal data is set out in our Privacy Policy. By using the service you agree to that policy.

9. Governing law

These terms are governed by the laws of Kenya. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kenya. [Placeholder — dispute resolution mechanism (mediation / arbitration clause) to be confirmed.]

10. Changes to these terms

We may update these terms from time to time. We will notify active API users by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance.
